popy.rocks was built to move fast in categories where speed is everything. We identify trending products before they peak, build the infrastructure to distribute them at scale, and run the operations ourselves — no middlemen, no theory.
Our wholesale division supplies the physical retail layer — kiosks, gas stations, convenience stores, shisha bars — with the products their young customers are already looking for. Our online and marketplace operations cover the digital side.

These General Terms and Conditions ("Terms") apply to all business relationships, services, and deliveries between popy.rocks EOOD, Sofroniy Vrachanski 8, 9000 Varna, Bulgaria, registered under EIK 208770332 (hereinafter "popy.rocks", "we", "us") and its business customers, partners, and suppliers (hereinafter "Client").
These Terms apply exclusively. Conflicting, deviating, or supplementary terms of the Client shall not become part of the contract unless expressly accepted in writing. Our services are directed at businesses (B2B) only, not at consumers.
popy.rocks operates across four divisions: direct-to-consumer online shops, marketplace operations, B2B wholesale distribution, and e-commerce consulting & IT strategy.
The specific scope, deliverables, timelines, and pricing for any engagement shall be defined in an individual written agreement, order confirmation, offer, or statement of work. Where no specific agreement has been concluded, these general Terms apply.
All offers made by popy.rocks are non-binding and subject to change unless expressly designated as binding in writing. A contract is concluded upon our written confirmation of the Client's order, or upon the commencement of the agreed service.
Verbal agreements require written confirmation by popy.rocks to be legally effective.
All prices are quoted in Euro (EUR) and are exclusive of statutory VAT unless expressly stated otherwise. For intra-EU B2B transactions, the reverse-charge mechanism applies where legally required.
Invoices are payable within 14 days of the invoice date without deduction, unless otherwise agreed in writing. In case of late payment, statutory default interest shall apply. We reserve the right to claim further damages caused by delay.
For wholesale orders, payment shall be made in advance unless a credit limit has been agreed in writing.
Delivery dates and performance deadlines are non-binding unless expressly confirmed in writing as binding. Partial deliveries are permitted to a reasonable extent. The risk of accidental loss passes to the Client upon handover to the carrier or, for services, upon delivery of the agreed result.
Force majeure events, supply chain disruptions, and circumstances beyond our reasonable control (including but not limited to strikes, natural disasters, pandemics, and official orders) release us from performance obligations for the duration of such events.
Goods delivered by popy.rocks remain our property until full payment of the purchase price has been received. The Client is entitled to resell the goods in the ordinary course of business, but hereby assigns to us any resulting claims against its own customers up to the amount of our outstanding invoice.
The Client must inspect the goods or service deliverables without undue delay upon receipt and notify us in writing of any defects. Obvious defects must be reported within 7 days; hidden defects without undue delay after discovery.
In case of a justified defect notification, we shall, at our choice, remedy the defect or deliver a replacement. Further claims are governed by statutory law, subject to the liability limitations in Article 08.
popy.rocks shall be liable without limitation for damages caused intentionally or by gross negligence, for damages resulting from injury to life, body, or health, and in cases where liability is mandatory by statutory law.
For damages caused by simple negligence, liability is limited to the foreseeable damage typical for the type of contract, and only applies where material contractual obligations ("cardinal duties") are breached.
Any further liability — in particular for indirect damages, loss of profit, loss of data, or consequential damages — is excluded to the extent permitted by law.
All intellectual property rights in materials, concepts, code, designs, and strategies developed by popy.rocks remain our property unless expressly transferred in writing. Upon full payment, the Client receives a non-exclusive, non-transferable right to use the delivered work product for its intended internal business purpose.
Trademarks, logos, and brand names of popy.rocks and its divisions may not be used by the Client without prior written consent.
Both parties agree to treat as confidential all information disclosed in the course of the business relationship that is marked as confidential or that a reasonable business person would understand to be confidential. This obligation survives the termination of the contract for a period of three (3) years.
popy.rocks processes personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Bulgarian data protection law. Where we process personal data on behalf of the Client, a separate Data Processing Agreement shall be concluded.
These Terms and all contracts concluded on their basis are governed by the laws of the Republic of Bulgaria, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be Varna, Bulgaria, provided the Client is a business, a legal entity under public law, or a special fund under public law.
Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid one.
Amendments and supplements to these Terms must be made in writing. This also applies to any waiver of the written form requirement.
